Terms and Conditions of the GPS GO Website and Monitoring Service

These Terms and Conditions set out the rules for using the gpsgo.eu website, the rules for concluding and performing agreements for the provision of the GPS GO monitoring service on a subscription basis, including the sale and installation of locating devices, and the complaint and consumer withdrawal procedures.

1. General Provisions

1. The gpsgo.eu website (“Website”) is operated by GPSGROUP Sp. z o.o., with its registered office at ul. Artyleryjska 37, 08-110 Siedlce, Poland, entered in the register of entrepreneurs of the National Court Register (Krajowy Rejestr Sądowy) maintained by the District Court in Siedlce, Commercial Division, under KRS No. 0000667079, NIP (Tax ID): 8212650971, REGON (Statistical No.): 366744582 (“Provider”).

2. Contact details of the Provider: e-mail info@gpsgo.eu, phone +48 885 515 515, correspondence address as indicated in section 1.

3. These Terms and Conditions constitute the terms and conditions referred to in Article 8 of the Polish Act of 18 July 2002 on the Provision of Electronic Services.

4. The Website and the monitoring service are addressed primarily to businesses. However, agreements may also be concluded by Consumers and Traders with Consumer Rights; the provisions concerning Consumers apply accordingly in such cases.

5. The information published on the Website, including plan descriptions and price lists, does not constitute an offer within the meaning of Article 66 of the Polish Civil Code, but an invitation to conclude an agreement within the meaning of Article 71 of the Polish Civil Code.

6. Prices stated on the Website are net prices (excluding VAT), unless expressly indicated otherwise. The Provider presents the gross price to a Consumer in the Offer, before the agreement is concluded.

7. These Terms and Conditions are available on the Website at all times and may be downloaded, saved and printed.

3. Electronic Services Provided on the Website

1. As part of the Website, the Provider enables in particular: browsing information about solutions, plans and products; sending inquiries and ordering an Offer via the Forms; and use of the Customer Panel by Customers who have entered into an Agreement.

2. The agreement to use a Form is concluded at the moment it is sent and expires once a reply is given or an Offer is sent. The Customer may stop using the Form at any time simply by not sending it.

3. Using the Website requires: a device with internet access, an up-to-date web browser with JavaScript and cookies enabled, and, for the Forms and the Customer Panel, an active e-mail address.

4. The Customer must use the Website and the Customer Panel in accordance with the law and good practice and must not provide unlawful content.

5. The Provider makes every effort to keep the Website running without interruption, but reserves the right to technical breaks, of which it gives advance notice where possible.

4. Conclusion of the Agreement

1. The Customer selects a Subscription Plan and sends an inquiry via the Form, by e-mail or by phone.

2. The Provider sends the Customer, to the e-mail address provided, an Offer indicating in particular the Subscription Plan, the number of vehicles or objects, prices, Devices and additional services, and the Offer’s validity period.

3. The Agreement is concluded when the Customer accepts the Offer by e-mail or in another manner indicated in the Offer, and, in the case of a Consumer, when the Provider receives the statement accepting the Offer.

4. The Customer provides the data necessary to perform the Agreement, in particular the data needed to issue an invoice and the numbers or identifiers of the Devices to be monitored.

5. The content of the Agreement consists of the Offer and these Terms and Conditions. The Provider sends them to the Customer in a form that allows them to be saved.

6. A Trader with Consumer Rights should indicate, when accepting the Offer, that the agreement is not of a professional nature for them.

5. Performance of the Agreement, the Customer Panel and Devices

1. Access to the Customer Panel is activated promptly, no later than within 24 business hours of the payment being credited or of the service start date indicated in the Offer, provided the Customer has supplied the data necessary for activation. Access details (a login and password, or an activation link) are sent to the Customer’s e-mail address.

2. The Customer is responsible for keeping the Customer Panel access details confidential and for not disclosing them to unauthorised persons.

3. The scope of functions of the Monitoring Service, including the retention period for location data, depends on the selected Subscription Plan. Operation of the Service also depends on GSM and GPS network coverage, which is outside the Provider’s control.

4. The Customer is responsible for fulfilling, with respect to persons whose vehicles or Devices are monitored (e.g. drivers, employees), the obligations arising from applicable law, including the GDPR and labour law.

5. Devices are sold on the terms set out in the Offer. Devices are delivered by courier, to a parcel locker, or collected in person from the Provider’s office by prior arrangement; the expected delivery time is usually 3 to 7 business days.

6. When receiving a parcel from the courier, the Customer should check its contents and condition in the courier’s presence and, if it is damaged, draw up a damage report with the courier.

7. Devices are installed at a place and time agreed with the Customer, on the terms and for the price indicated in the Offer.

6. Fees and Payments

1. The Subscription fee is charged for each Billing Period, in accordance with the selected Subscription Plan, the number of vehicles or objects, and the Offer. Prices for Devices, installation and additional services may be expressed in EUR. At the Customer’s request, an invoice may be issued in PLN at the average NBP (National Bank of Poland) exchange rate from the last business day preceding the invoice date.

2. The Provider issues a VAT invoice for each Billing Period and for Devices and additional services. The Customer agrees to receive invoices electronically at the e-mail address indicated in the Agreement.

3. Payments may be made by bank transfer to the account indicated in the Offer or on the invoice or, where the Provider makes such an option available, online via a payment operator, including recurring card payments.

4. The payment deadline is indicated in the Offer or on the invoice. A change in prices applies only to subsequent, as yet unpaid Billing Periods; the Provider notifies the Customer electronically of any change in prices.

5. Rules for recurring payments (where available): 1) by choosing recurring payment, the Customer consents to the indicated payment card being charged automatically for an amount equal to the Subscription price in each successive Billing Period, until the Service is cancelled; 2) if a payment attempt fails, the Provider may retry it and ask the Customer to update their payment details.

6. In the event of non-payment, the Customer’s access to the Monitoring Service may be temporarily suspended, of which the Customer will be notified electronically. Suspension does not amount to termination of the Agreement and takes place without prejudice to the Customer’s rights under mandatory provisions of law.

7. The agreement for the provision of the Monitoring Service is concluded for an indefinite period, unless the Offer states otherwise. The Customer may cancel the Service at any time, with effect at the end of the current, paid Billing Period, by submitting a statement to info@gpsgo.eu or via the Customer Panel.

7. Complaints

1. The Provider is liable for non-performance or improper performance of the Monitoring Service (e.g. unavailability of the Customer Panel for reasons attributable to the Provider, or errors in location data) and for any lack of conformity of the Devices with the Agreement, on the terms set out in the Civil Code and, with respect to Consumers, also in the Polish Act of 30 May 2014 on Consumer Rights.

2. If a Device is not in conformity with the Agreement, the Consumer may request its repair or replacement and, in certain cases, may make a statement reducing the price or withdrawing from the Agreement. The Provider is liable for a lack of conformity that existed at the time of delivery and became apparent within two years of that time.

3. Complaints may be submitted: a) in writing to: GPSGROUP Sp. z o.o., ul. Artyleryjska 37, 08-110 Siedlce, Poland; b) by e-mail to info@gpsgo.eu.

4. A complaint should include: the complainant’s details (first and last name or company name, correspondence address, e-mail address and phone number), a description of the reason for the complaint and the request made, and, where applicable, the Device or Offer number. Proof of purchase makes it easier to process the complaint but is not required.

5. The Provider processes a complaint within 14 days of its receipt and informs the Customer of the outcome electronically or in writing.

6. The above provisions do not exclude the Provider’s ability to grant a warranty for the Devices, where one has been granted.

8. The Consumer's Right of Withdrawal

1. Under the Polish Act of 30 May 2014 on Consumer Rights, a Consumer may withdraw from a distance agreement without giving a reason within 14 days of the date the Device is handed over, or, for the Monitoring Service, from the date the Agreement is concluded.

2. A Consumer may withdraw from the Agreement by submitting a statement of withdrawal to the Provider, e.g. to info@gpsgo.eu or in writing to: GPSGROUP Sp. z o.o., ul. Artyleryjska 37, 08-110 Siedlce, Poland. To meet the deadline, it is enough to send the statement before it expires.

3. If a Consumer asks for the Monitoring Service to begin before the withdrawal period expires, they make an express request to that effect when accepting the Offer. If the Consumer withdraws from the Agreement after the service has begun, the Consumer will pay for the services performed up to the moment of withdrawal. Once a service for which the Consumer was required to pay has been fully performed, at the Consumer’s express request and after they have been informed that they will lose the right of withdrawal, that right no longer applies.

4. The Provider will refund the Consumer all payments made, except for amounts due for services performed up to the moment of withdrawal, within 14 days of receiving the statement of withdrawal, using the same payment method the Consumer used. The Consumer returns the Device promptly, no later than within 14 days of the date of withdrawal.

5. Model withdrawal form (optional; not required to exercise the right of withdrawal): “I/We(*) hereby give notice that I/we(*) withdraw from my/our(*) contract of sale of the following Devices / for the provision of the following Service(*): [description], date the contract was concluded: [date], name of Consumer: [___], address of Consumer: [___], signature of Consumer (only if the form is sent on paper), date: [___]. (*) Delete as appropriate.” The form may be sent to info@gpsgo.eu or by regular post to: GPSGROUP Sp. z o.o., ul. Artyleryjska 37, 08-110 Siedlce, Poland.

6. The right of withdrawal referred to in this section does not apply to Customers who are not Consumers, and applies to Traders with Consumer Rights to the extent provided by law.

9. Out-of-Court Dispute Resolution

1. If the complaint procedure does not produce the expected result, a Consumer may in particular use: mediation conducted by the locally competent Provincial Inspectorate of Trade Inspection; the assistance of the standing amicable consumer court operating at the Provincial Inspectorate of Trade Inspection; or the free assistance of the district (municipal) consumer ombudsman. A list and further information are available on the UOKiK (Office of Competition and Consumer Protection) website: uokik.gov.pl.

2. This section does not apply to Customers who are not Consumers.

10. Protection of Personal Data

1. The controller of the personal data provided by the Customer in connection with using the Website and concluding the Agreement is the Provider.

2. Data are processed to respond to inquiries, prepare an Offer, conclude and perform the Agreement, issue invoices and handle complaints, in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR). Providing the data is voluntary but necessary to use a Form or conclude an Agreement.

3. If, as part of the Monitoring Service, the Provider processes personal data on the Customer’s behalf (e.g. drivers’ data), the parties enter into a data processing agreement, a template of which is available in the “Privacy Policy” section.

4. The Customer has the right to access their data, and to have it rectified, erased, its processing restricted, ported, and to object to its processing, as well as the right to lodge a complaint with the President of the Personal Data Protection Office (UODO).

5. Detailed information on the processing of personal data and cookies is set out in the “Privacy Policy” available on the Website.

11. Final Provisions

1. These Terms and Conditions apply from the date they are published on the Website. Agreements concluded before a change to these Terms and Conditions are performed under the previous version, unless the Customer accepts the new version.

2. The Provider may amend these Terms and Conditions for valid reasons, in particular changes in law or changes to the scope or manner of providing services. The Provider notifies Customers with an active Subscription of any change electronically at least 14 days in advance; a Customer who does not accept the changes may terminate the Agreement.

3. In matters not regulated by these Terms and Conditions, the generally applicable provisions of Polish law apply.

4. These Terms and Conditions do not exclude or limit a Consumer’s rights arising from mandatory provisions of law. In the event of a conflict between these Terms and Conditions and such provisions, the provisions of law prevail.

5. If any provision of these Terms and Conditions is found to be invalid or ineffective, the remaining provisions remain in force.
